2004年3月EA开始大量派员参观光通,很快除了EA董事长外几乎所有的高层管理人员全部都来过光通,5月EA提出以四亿RMB的价格与光通的母公司香港中信太富成立合资公司,并以此条件为诱饵,迅速签署保密协议和框架备忘录,8月EA以尽职调查为由,要求光通提供以下内容:
1、网游的用户及市场特点;
2、会员系统;
3、点卡收费系统;
4、销售方式和渠道管理;
5、财务分析模型;
6、网络运营管理平台;
7、客户服务系统;
8、公司管理结构;
9、员工管理和培训........
10月EA在双方还没有签定任何法律合同时,以简介合作在即,急需开发产品为由,提出在光通选二十名优秀员工赴美国EA,边培训边研发产品,.......
11月EA以内部批准用款周期太长为由,向光通借款RMB四百万......
2005年3月,EA宣布终止谈判,撤回光通在美国人员......
4月EA在上海宣布成立独资公司和研发工作室.......
5月--6月EA先后挖走光通十一名高级员工,使光通运营和研发几乎陷入瘫痪........
8月光通经过长达5个月的追讨,EA才归还了四百万的百分之八十........
9月5日杨京因此离开他一手创建,为之奋斗了五年的光通........
案例教训:
1、绝不能将行业翘楚和诚信企业画等号,其实他骗你没商量;
2、在任何合作之前,要仔细签好保密协议,其中最重要的条件之一是,不论合作成功与否,对方在至少两年之内不得雇佣本公司职员;
3、涉及企业核心价值的内容,绝不是尽职调查所必须的,哪些对中国市场流口水的外国公司,千万不能由于太渴望他们的技术,就看低了自己积累重大价值,EA就是惯用此种成套路的艺术手段,在美国、欧洲、韩国屡屡得手,我相信九城的朱俊有能力收拾的住EA。

Case lesson :
